Please read these Terms and Conditions carefully before using InvoiceHela. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. About the Service

InvoiceHela provides an online software platform that allows businesses and individuals to create invoices, manage expenses, track payments, manage inventory, and maintain financial records (the “Service”).

These Terms form a legally binding agreement between you (“Customer”, “User”, or “You”) and InvoiceHela (“we”, “our”, or “us”).

2. Use of the Service

2.1 Customer Data

All data entered into the Service, including invoices, customers, expenses, payments, products, and financial records, remains the property of the Customer (“Customer Data”).

You grant InvoiceHela permission to store, process, and use your Customer Data only as necessary to provide, maintain, and improve the Service.

2.2 Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to:

  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Use the Service in accordance with applicable laws
  • Provide accurate and truthful account information

2.3 Acceptable Use

You agree not to use the Service to:

  • Transmit unlawful, harmful, or fraudulent content
  • Send spam or unsolicited communications
  • Attempt unauthorized access to systems or accounts
  • Interfere with the operation or security of the platform
  • Use the platform to build competing products or services

3. Payments and Subscriptions

Some features of the Service may require payment based on your selected subscription plan. By subscribing to a paid plan, you agree to pay all applicable fees.

Failure to make required payments may result in suspension or termination of your account.

3.1 Payment Methods

Payments may be made using available payment methods supported by InvoiceHela, which may include:

  • Mobile money services (such as M-Pesa)
  • Debit or credit cards
  • Other supported digital payment methods

You are responsible for any taxes, transaction fees, or charges associated with your payments.

4. Technical Support

InvoiceHela provides customer support through available support channels, including email and help documentation.

While we strive to provide timely support, response times are not guaranteed.

5. Data Security and Confidentiality

We take reasonable technical and organizational measures to protect your data against unauthorized access, misuse, or loss.

Both parties agree to keep confidential any non-public information shared during the use of the Service.

6. Intellectual Property

All software, features, workflows, designs, trademarks, and related technology associated with InvoiceHela remain the property of InvoiceHela or its licensors.

You may not:

  • Copy, reproduce, or distribute the Service
  • Reverse engineer or modify the platform
  • Sell, rent, or sublicense access to the Service
  • Remove branding or proprietary notices

7. Service Availability

We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may occasionally be unavailable due to maintenance, upgrades, or technical issues.

InvoiceHela shall not be liable for losses resulting from service interruptions.

8. Suspension and Termination

We may suspend or terminate your account if:

  • You fail to pay required subscription fees
  • You violate these Terms
  • You misuse or abuse the Service
  • Required by law or regulatory authorities

Upon termination, your data may remain accessible for a limited time to allow export or backup of records.

9. Limitation of Liability

To the maximum extent permitted by law, InvoiceHela shall not be liable for indirect, incidental, or consequential damages, including loss of profits, loss of data, or business interruption.

Our total liability shall not exceed the total amount paid by you for the Service during the six (6) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold InvoiceHela harmless from any claims, losses, damages, or expenses arising from your misuse of the Service or violation of these Terms.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.

Any disputes arising under these Terms shall be resolved in the courts of Kenya.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If significant changes are made, we will notify users through the platform or via email where appropriate.

Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
